Subscription Terms

These Subscription Terms (the “Subscription Terms”) and the Terms of Service together set the terms and conditions of the Business’s subscription to use the Take it Personally platform (the “Platform”). 

  1. Definitions

Capitalized terms not defined in these Subscription Terms are defined in the Terms of Service.

  • Terms of Service: The Company Terms of Service available at this link, which may be updated by the Company periodically.
  • Order Form: The form completed by the Business on the Platform, where the Business provides business information, selects the Subscription type, and the Subscription Term.
  • Subscription: Subscription package, as selected by the Business on the Order Form.
  • Subscription Fee: The payment the Business makes for the Subscription for each Subscription Term, based on the Order Form.
  • Subscription Term: The term of the Subscription, calculated starting from the first day of subscription, either (a) a monthly term of 1 calendar month or (b) a yearly term of 12 months, as selected by the Business on the Order Form.

     

  1. Ordering, Payment, and Renewal

2.1. Commencement of Subscription Upon completing the Order Form, a Platform representative will acknowledge receipt and provide the Business with payment instructions via email. Once the Subscription Fee is paid, the Business will receive a confirmation.

2.2. Initial and Subsequent Charges The initial Subscription Term’s Subscription Fee is specified in the Order Form. The Business will be automatically charged or invoiced for renewal at the end of each Subscription Term unless terminated per Section 3.

2.3. Changes to Payment Information The Business can change their payment method by contacting the Company representative. Failure to update the payment method may disrupt or terminate access to the Platform.

2.4. Automatic Renewal The Subscription will automatically renew for the same length as the initial term unless terminated per Section 3. The Business agrees to pay recurring Subscription Fees until termination. The Company reserves the right to not renew the Subscription at any time for any reason in its sole and exclusive discretion.

2.5. Outstanding Balances; Late Payment The Company is not obligated to continue to provide services in the event any Subscription Fees are in arrears or during any period in which the Business owes outstanding balances to the Company .

2.6. Changes to Subscription Fee The Company may change the Subscription Fee at any time, with a minimum of thirty (30) days’ notice or such longer period required by applicable Law. Changes will be effective upon the next Renewal Term.

2.7. Collection of Charges If The Company cannot collect the Subscription Fee, the Business shall indemnify the Company for any loss incurred by the Company in connection with the collection of such fees, including costs of collection and reasonable attorney’s fees.

2.8. Change of Subscription Term The Business can change their Subscription Term (monthly to yearly or vice versa) in their account, effective at the end of the current term.

  1. Termination of Subscription

3.1. Termination The Company may terminate the Subscription with ten (10) days’ notice via the Platform or email. If such termination is not due to Business breach, breach of these Subscription Terms or the Terms of Service, the Company will refund a pro-rata portion of the Subscription Fee for the remaining term. If such termination is the result of any breach by Business of these Subscription Terms or the Terms of Service, the Business shall not be entitled to any refund of the Subscription Fee, regardless of the date of termination. The Business may terminate the Subscription at any time with written notice via  customer support chat or email. Termination shall take effect at the end of the current term, with no refund for that term, regardless of the date of termination or the reason for termination. Upon termination, the Business shall lose access to the Platform at the end of the current term unless a new Subscription is purchased. Terms of these Subscription Terms and the Terms of Service that are intended to survive termination will remain in effect.

  1. Miscellaneous

4.1. Additional Information Subscription Terms and Fees are based on information provided by the Business on the Order Form. The Business must ensure this information is accurate and notify the Company of changes. The Company may adjust terms and fees based on updated information. The Company reserves the right to request additional information from the Business for legal compliance purposes. Failure of the Business to provide such information may result in subscription rejection, postponement, or termination.

4.2. Conflict of Provisions In case of conflict, the following order of precedence applies: (a) Order Form (b) Subscription Terms (c) Terms of Service.

4.3. Amendment to Subscription Terms The Company may change these Subscription Terms without notice to the Business to comply with applicable laws or if changes do not materially affect the Business’ rights. For any other changes, the Company will provide ten (10) days’ notice via email. The Business may terminate the Subscription if they object to changes.

4.4 Nothing under the Subscription Terms or Terms of Service shall be construed as creating an employer-employee relationship between The Company and any employees hired or engaged by the Business. Each subscribing Business shall at all times remain the sole employer of persons it employs and, to this end, the Business and the Company agree that no act or omission of the Business or the Company shall be construed to make or render them joint employers, co-employers or the alter ego of each other.
